Mike Malley, a member of the Blockchain Tax Partners

Mike Malley

A licensed CPA with over 15 years of experience as a tax professional, Mike spent time working at a big four accounting firm for over 10 years where he focused mainly on tax accounting and tax compliance issues. He also worked for 2 plus years in the tax department at a Fortune 1000 multinational company. Mike started working in the blockchain and digital asset space in 2020.

Mike earned a Bachelor of Science in Accountancy from Villanova University and a Master of Science in Taxation from Bentley University.

During his free time you can find Mike playing golf and spending time with his wife and two children.

Josh Petropoulos

Josh Petropoulos is a licensed CPA with extensive tax experience gained from working approximately 16 years for a large multinational public accounting firm serving both publicly traded and privately held businesses throughout all stages of their business life cycle. Josh has focused on blockchain and digital asset tax matters since 2018.

Josh earned his Master of Taxation from the University of Denver and his Bachelors in Business Administration with a focus on Accounting from the University of Massachusetts Amherst.

Josh enjoys spending time with his family and traveling the world.

Nick Cerasuolo

Prior to founding BTP in 2019, Nick spent over 11 years in public accounting at Big 4 firms where he advised on cryptocurrency transactions, M&A and general tax matters for startups, strategic multinational corporations, and venture capital/private equity firms. Nicholas is a licensed Certified Public Accountant and Chartered Global Management Accountant. Nicholas holds a Bachelor of Science in Corporate Finance and Accountancy from Bentley University and Masters of Science in Taxation from the McCallum Graduate School of Business.

Fund experience: Nick advises funds on optimal legal entity structure (setup) and provides ongoing operational support for the life of the fund (compliance, transaction advice, portfolio support, etc.). Fund clients include real estate, tech, traditional VC/PE, crypto, and prop traders.  Some common issues Nicholas helps funds solve include: fund structural design to allow US and non-US investors to enter the fund, forms of investment into underlying assets (direct asset purchase, debt, equity, convertible debt, SAFE, SAFT, SAFE-T, SAFT-E, pre-functionality purchase agreements), token allocations, overall tax efficiency, loan structures for cryptocurrency, transfer pricing arrangements, and navigating US and non-US investor related issues.

Founders/operators/portfolio companies/non-US based companies: Nick advises on the tax implications of various transactions, including optimizing the company’s initial legal entity structure to accept capital, subsequent financing rounds, cross-border transfer pricing design and execution, and ongoing operational support (compliance, tax planning, etc.). Specific to crypto, Nicholas has advised several exchanges, several successful token launches (utility, security), and several tokenized business models. For non-US based companies, Nicholas advises on how to enter the US markets in a tax compliant way to optimize US tax leakage.
